1. Acceptance of Terms
By accessing or using AgentWatch ("the Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
AgentWatch is an LLM governance platform that provides session-aware budget enforcement, anomaly detection, and compliance reporting for AI agent workflows. The Service operates as an API proxy between your application and upstream LLM providers.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the security of your API keys and account credentials. Notify us immediately of any unauthorized access.
4. Subscriptions & Billing
- All plans are billed monthly in advance
- Prices are in USD and exclude applicable taxes
- You may cancel at any time; cancellation takes effect at the end of the current billing period
- Refunds are governed by our Refund Policy
5. Acceptable Use
You agree not to:
- Use the Service for illegal purposes
- Attempt to circumvent budget enforcement mechanisms
- Resell or redistribute the Service without authorization
- Interfere with or disrupt the Service infrastructure
6. Service Availability
AgentWatch operates on a fail-open architecture. While we strive for high availability, we do not guarantee uninterrupted service. Our infrastructure will never cause a hard outage for your production traffic.
7. Limitation of Liability
To the maximum extent permitted by law, AgentWatch shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
8. Intellectual Property
The Service, including its software, design, and documentation, is owned by AgentWatch and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service.
9. Termination
We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will provide reasonable notice for voluntary terminations.
10. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
